Terms and Conditions

1. Introduction

These Terms and Conditions govern your use of the Play or Host mobile application (the "App") developed and published by Studio Webux. By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. License Agreement

Studio Webux grants you a personal, non-exclusive, non-transferable, revocable license to use the App, subject to these Terms.

2.1 Permitted Use

• Use the App on devices you own or control
• Create and manage character sheets, dice rolls, card decks, and other TTRPG-related content
• Sync your data across your devices using your iCloud account
• Use the App for personal or commercial purposes, including but not limited to professional game mastering services

2.2 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse engineer, decompile, or disassemble the App
• Remove or modify any copyright, trademark, or other proprietary notices
• Use the App for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any portion of the App or its related systems

3. User Responsibilities

You are responsible for:

• Maintaining the security of your Apple ID and device
• All activity that occurs under your Apple ID account
• Managing your iCloud storage space
• Backing up your data (through iCloud or other means)
• Complying with all applicable laws and regulations while using the App

4. Intellectual Property Rights

4.1 App Ownership

Studio Webux retains all rights, title, and interest in and to the App, including all intellectual property rights. This includes the app's code, design, graphics, and documentation.

4.2 User Content Ownership

You retain all rights to the content you create within the App, including but not limited to:

• Character sheets and associated data
• Journal entries and notes
• Custom templates and configurations
• Oracle and card deck setups

Studio Webux does not claim any ownership rights to your user-generated content and has no access to it.

4.3 Third-Party Content

You are solely responsible for ensuring you have the right to use any third-party content (such as copyrighted game system rules or character information) that you input into the App.

5. Data and Privacy

Your use of the App is also governed by our Privacy Policy. Please review our Privacy Policy to understand how your data is handled.

Key points:

• All your data is stored in your personal iCloud account
• Studio Webux does not collect, access, or store your user data
• You are responsible for managing your iCloud storage and backups

6. Modifications to the App

Studio Webux reserves the right to:

• Modify, update, or discontinue the App at any time
• Add or remove features
• Release new versions

We will make reasonable efforts to notify you of significant changes, but are not obligated to do so.

7. Modifications to Terms

Studio Webux may modify these Terms at any time. We will notify you of changes by:

• Updating the "Effective Date" at the top of these Terms
• Posting the updated Terms at this URL

Your continued use of the App after changes are posted constitutes acceptance of the modified Terms.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the App will be uninterrupted, error-free, or secure
• That defects will be corrected
• The accuracy, reliability, or completeness of any content

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIO WEBUX SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, profits, revenue, or business opportunities
• Damage to your device or data
• Loss or corruption of data stored in your iCloud account
• Any damages arising from your use or inability to use the App

IN NO EVENT SHALL STUDIO WEBUX'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY).

10. Indemnification

You agree to indemnify, defend, and hold harmless Studio Webux from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create or input into the App

11. Termination

These Terms are effective until terminated by either party.

11.1 Your Rights

You may terminate these Terms at any time by:

• Deleting the App from all your devices
• Ceasing all use of the App

11.2 Studio Webux's Rights

Studio Webux may terminate or suspend your access to the App immediately, without notice, if you violate these Terms.

11.3 Effect of Termination

Upon termination:

• Your license to use the App ends immediately
• You must delete the App from all devices
• Your data in iCloud remains under your control and Apple's terms

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Quebec, Canada.

12.3 Informal Resolution

Before initiating any legal proceedings, you agree to first contact us at playorhost@studiowebux.com to attempt to resolve the dispute informally.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Studio Webux regarding the App.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without Studio Webux's prior written consent. Studio Webux may assign these Terms without restriction.

13.5 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Studio Webux as a result of these Terms or your use of the App.

14. Apple-Specific Terms

If you access the App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Studio Webux only, not with Apple
• Apple has no obligation to furnish maintenance and support services for the App
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you; to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the App
• Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App
• Apple is a third-party beneficiary of these Terms and has the right to enforce these Terms against you
